1. Using Vendistri
Vendistri provides software tools for vending operations, including route planning, machine and location management, service tasks, inventory workflows, reports, contact portals, mobile work tools, and related features.
You may use Vendistri only in compliance with these terms, applicable laws, and any product documentation or instructions we provide. You are responsible for your use of Vendistri and for the actions of users you invite or authorize.
2. Accounts and Eligibility
You must provide accurate account information and keep it current. You are responsible for safeguarding passwords, devices, API keys, integration credentials, and account access. Notify us promptly at support@vendistri.com if you believe your account has been compromised.
Vendistri may support business users, operators, location contacts, employees, contractors, or individual users. You are responsible for assigning appropriate roles and permissions to the people you invite.
3. Customer Data
As between you and Vendistri, you own the data, content, and materials you submit to Vendistri, including machine, location, route, sales, inventory, task, photo, report, contact, and operational information ("Customer Data").
You grant Vendistri a limited license to host, process, transmit, display, copy, back up, analyze, and otherwise use Customer Data only as needed to provide, secure, support, maintain, and improve Vendistri; comply with law; prevent abuse; and enforce these terms.
You are responsible for ensuring that you have the rights and permissions needed to submit Customer Data to Vendistri, including any personal information, location information, photos, third-party integration data, or data about your own customers, employees, contractors, or location contacts.
4. Vendistri Property
Vendistri and its software, website, applications, interfaces, designs, logos, trademarks, documentation, and other materials are owned by Vendistri or its licensors. Except for the limited right to use the service under these terms, we reserve all rights in Vendistri.
Feedback or suggestions you provide may be used by us without restriction or compensation, but we will not identify you as the source without your permission.
5. Privacy
Our Privacy Policy explains how we collect, use, store, protect, and share information. By using Vendistri, you acknowledge that we process information as described in that policy.
6. Subscriptions, Billing, Trials, and Taxes
Vendistri may offer paid subscriptions, free trials, promotional plans, beta access, or usage-based features. Trial length, eligibility, features, limits, and pricing may vary and may be changed or discontinued.
Unless otherwise stated, subscriptions are purchased through the Vendistri website or web application and processed by payment providers such as Stripe. You authorize us and our payment processors to charge your selected payment method for fees, recurring subscriptions, applicable taxes, and related charges.
You are responsible for keeping billing information accurate. If payment fails, we may retry the charge, limit service access, suspend features, or terminate the subscription after reasonable notice where practical.
Fees are non-refundable except where required by law or where Vendistri expressly states otherwise. You may cancel according to the cancellation controls we make available. Cancellation may take effect at the end of the current billing period unless we say otherwise.
7. Acceptable Use
You may not use Vendistri to:
- violate any law, regulation, contract, or third-party right;
- upload unlawful, infringing, harmful, deceptive, or abusive content;
- access or attempt to access accounts, systems, data, or integrations without authorization;
- reverse engineer, scrape, crawl, copy, benchmark for a competing product, or misuse Vendistri except as allowed by law;
- interfere with security, availability, performance, or normal operation of Vendistri;
- submit viruses, malware, automated abuse, spam, or excessive requests;
- use Vendistri to make decisions that are unlawful, discriminatory, or unsafe.
8. Third-Party Services and Integrations
Vendistri may connect with third-party services, including payment processors, routing and mapping providers, email providers, app platforms, telemetry providers, card reader systems, analytics, security tools, and other integrations.
Third-party services are governed by their own terms and privacy policies. We are not responsible for third-party services we do not control. You are responsible for the accuracy, legality, security, and authorization of any third-party credentials, API keys, or integration data you provide.
9. Service Changes and Availability
Vendistri is evolving. We may add, change, limit, suspend, or discontinue features, plans, trials, integrations, or parts of the service. We may also perform maintenance or updates that affect availability.
We work to keep Vendistri reliable, but we do not guarantee uninterrupted, error-free, or perfectly secure service.
10. Disclaimers
Vendistri is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
Vendistri may help with route planning, reports, inventory, sales review, tasks, and operational decisions, but you remain responsible for reviewing outputs and making business, safety, driving, financial, tax, employment, legal, and operational decisions. We do not guarantee revenue, profit, route efficiency, inventory accuracy, machine uptime, customer satisfaction, or legal compliance.
11. Limitation of Liability
To the maximum extent permitted by law, Vendistri will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, goodwill loss, or substitute services, even if we have been advised of the possibility of those damages.
To the maximum extent permitted by law, Vendistri's total liability for any claim relating to the service or these terms will not exceed the greater of the amount you paid to Vendistri for the service in the three months before the claim arose or one hundred U.S. dollars.
12. Indemnity
You agree to defend, indemnify, and hold Vendistri harmless from claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising from your use of Vendistri, Customer Data, your violation of these terms, your violation of law, or your violation of another person's rights.
13. Suspension and Termination
You may stop using Vendistri at any time. We may suspend or terminate access if you violate these terms, create security or legal risk, fail to pay amounts owed, misuse the service, or if continued access would harm Vendistri, users, third parties, or the service.
After termination, some sections of these terms will continue to apply, including sections about Customer Data processing for retained records, Vendistri property, payment obligations, disclaimers, liability limits, indemnity, and dispute handling.
14. Governing Law and Disputes
These terms are governed by the laws of the United States and, where a state law must be selected, the laws of the state where Vendistri is principally operated, without regard to conflict of law rules.
Before filing a claim, you agree to first contact us at support@vendistri.com and give us a reasonable opportunity to resolve the issue informally.
15. Changes to These Terms
We may update these terms from time to time. If we make material changes, we will provide notice by posting the updated terms, updating the date above, sending an email, or using another reasonable method. Your continued use of Vendistri after the effective date of updated terms means you accept them.
